1. Scope

These Terms of Use (“Terms”) apply to your access to and use of the Basis website and Basis Platforms, including related features, tools, and integrations with third-party services (collectively, the “Services”).

If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf.

The Services are provided by Basis Research Institute Inc. (“Basis,” “we,” “us,” or “our”).

3. Acceptable use

You agree not to:

  • Use the Services in violation of any law or third-party rights
  • Attempt to gain unauthorized access to systems, data, or accounts
  • Interfere with or disrupt the security or operation of the Services
  • Reverse engineer, scrape at abusive scale, or misuse any non-public interfaces
  • Upload or transmit malicious code

You are responsible for activity occurring under your account or credentials.


4. Third-party services

Our Services may connect to third-party services. When you authorize a connection:

  • You instruct us to access and process the data made available through that connection
  • Your use of the third-party service remains subject to that provider’s own terms and policies
  • We are not responsible for downtime, API changes, or actions of third-party providers

You can revoke permissions through the relevant third-party service or by contacting us.

If a separate product or platform-specific privacy notice is published, that notice governs for that product or platform.

Unless otherwise stated, the Services and their content (excluding user-provided content) are owned by Basis or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-transferable license to use the Services for their intended purpose.


7. Availability and changes

We may modify, suspend, or discontinue any part of the Services at any time, including features and integrations, with or without notice.

We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date.


8. Disclaimer

The Services are provided on an “as is” and “as available” basis to the extent permitted by law. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.


9. Limitation of liability

To the maximum extent permitted by law, Basis and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to the Services.

To the maximum extent permitted by law, our total liability for claims arising out of or related to the Services will not exceed USD $100.


10. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except where mandatory local law requires otherwise.
